Trademark usage terms

These Usage Terms, including the BUNN Commercial LP (“BUNN”) Graphics Standards, summarize the terms and conditions governing your use of any BUNN trademark, including the downloadable logos above (the “Logos”). These Usage Terms constitute a binding contract, and it is important that you read, understand, and comply with your obligations under these terms. By downloading, accessing, or using any BUNN trademark or Logo, you accept and agree to be bound by these Usage Terms. If you do not agree, you may not use any BUNN trademark or Logo. Compliance with these Usage Terms protects the value of the BUNN brand for you, us, and other users by ensuring that consumers know they can expect the quality and support they have come to expect from the BUNN name.


1. Usage. You are permitted to use our trademarks and Logos (collectively “Trademarks”) in brochures, websites, advertisements, and other marketing-related publications for the limited purpose of advertising BUNN products and accessories that you sell and services that you provide that make use of our products, subject to the restrictions contained herein. This permission is non-exclusive, non-transferable, and revocable at any time in BUNN’s sole discretion. You may not sublicense, assign, or otherwise transfer any rights granted under these Usage Terms to any third party without BUNN’s prior written consent.
2. Ownership and Marking. BUNN remains the owner of all copyrights and other rights in the Trademarks and all use shall inure to our benefit. You acknowledge that you have no ownership interest in any Trademark and agree not to challenge BUNN’s ownership of, or the validity of, any Trademark. Your use of any Trademark must be accompanied by the following form of trademark attribution in an appropriate location on the website, printed materials, or other information or goods:

3. Scope of Use. You must not use the Trademarks in any way that would confuse consumers as to who offers your products and services, or as to the relationship between you and BUNN. A Trademark may not be used in any manner that might imply that any non-BUNN materials, including but not limited to goods, services, websites, or publications are sponsored, endorsed, licensed by, or affiliated with us. You may not mimic or make use of our product packaging, design, website or advertising in any way that may cause consumer confusion as to the source of your or our products and services. You may not use the Trademarks in any parody of BUNN, our products, or our trademarks or other intellectual property. You may not use the Trademarks in any way that would disparage us or our reputation and goodwill. You must never use a Trademark so that it appears with any other symbol or icon (except the appropriate trademark indicator); is contained within a box, circle, or other shape; or is combined with any other name, logo, or icon to create a co-branded logo.
4. Use of Logos. You may only use the Logos exactly as provided for download and in accordance with the BUNN Corporation Graphics Standards set forth below. You may not alter, animate, morph, or otherwise modify the Logos in any way.
5. Quality Control. All materials bearing a Trademark must meet BUNN’s quality standards as communicated to you from time to time. You agree to submit to BUNN, upon request, representative samples of any materials bearing a Trademark for review and approval. If BUNN determines that any materials do not meet its standards, you agree to promptly correct any deficiencies or cease use of the Trademark in connection with those materials.
6. Relationship Between You and Us. The permission granted herein does not create an agency, employment, joint venture, or partnership relationship between us and you. You may not use the Trademarks in any way that might mislead consumers into believing that such a relationship exists. Such uses include, but are not limited to, combining a Trademark with another logo or emblem, displaying a Trademark in a position of prominence, or using the BUNN name in a manner other than to indicate that we manufacture authentic BUNN products that you sell.
7. Termination and Modification. BUNN reserves the right in its sole discretion to terminate or modify permission to display the Trademarks at any time, with or without cause, upon written notice to you. BUNN may also request that you modify or delete any use of a Trademark that, in its judgment, does not comply with these Usage Terms, or that might otherwise impair its rights in the Trademark, and you agree to comply with such requests within five (5) business days of receipt of notice. We further reserve the right to object to unfair uses or misuses of our Trademarks or other violations of applicable law. Notwithstanding the foregoing, BUNN may immediately terminate your permission to use the Trademarks if you breach any provision of these Usage Terms.
8. Effect of Termination. Upon termination or expiration of permission under these Usage Terms, you must immediately cease all use of the Trademarks and destroy or return all materials in your possession or control that bear any Trademark. Any use of the Trademarks following termination constitutes infringement of BUNN’s rights.
9. Inspection and Compliance. BUNN may, upon reasonable notice, inspect and audit your use of the Trademarks to verify compliance with these Usage Terms. You agree to cooperate fully with any such inspection or audit.
10. Indemnification. You agree to indemnify, defend, and hold harmless BUNN, its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Trademarks, your breach of these Usage Terms, or any claim that your use of a Trademark infringes or violates the rights of any third party.
11. Disclaimer. The Trademarks are provided “as is.” BUNN makes no warranties, express or implied, regarding the Trademarks, including any warranty of non-infringement.
12. Governing Law. These Usage Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of laws principles. Any dispute arising under or in connection with these Usage Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Illinois.
13. Survival. Sections 2 (Ownership and Marking), 8 (Effect of Termination), 10 (Indemnification), 11 (Disclaimer), and 12 (Governing Law) shall survive any termination or expiration of these Usage Terms.
14. Amendments. BUNN may update or amend these Usage Terms at any time by posting the revised terms. Your continued use of any Trademark following the posting of amended Usage Terms constitutes your acceptance of those amendments.
